EIDO™ — TERMS OF SERVICE

IMPORTANT — PLEASE READ CAREFULLY BEFORE USING THIS SITE OR PLACING AN ORDER.

These Terms of Service constitute a legally binding agreement between you and EIDO™. By accessing the Site, creating an account, placing an Order, or otherwise using the Services in any way, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms, our Privacy Policy, our Shipping Policy, and our Return & Exchange Policy (each incorporated herein by reference).

If you do not agree to these Terms in their entirety, you must immediately cease accessing and using the Site and Services.

Dispute Resolution Notice (Applicable in Certain Jurisdictions): Section 27 of these Terms contains an arbitration agreement and class action waiver applicable to users located in the United States and certain other jurisdictions. Please read Section 27 carefully as it affects your legal rights, including your right to bring a court action or participate in a class action lawsuit. Consumers in Australia, the EEA, and the UK are not subject to mandatory arbitration under these Terms.

SECTION 1 — KEY DEFINITIONS

The following terms have the defined meanings set out below wherever they appear in these Terms (capitalised or otherwise):

"ACL" means the Australian Consumer Law as set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), as amended from time to time.

"Abandoned Parcel" means any parcel that is returned to EIDO or its logistics partners due to (a) an incorrect or incomplete delivery address provided by a Customer, (b) failure to collect from a collection point or customs authority within the specified timeframe, (c) refusal of delivery, or (d) failure to pay applicable import duties, taxes, or customs fees.

"Business Day" means any day that is not a Saturday, Sunday, or Queensland public holiday, as observed in Queensland, Australia.

"Cart" means the temporary online shopping basket function on the Site through which a Customer selects Products prior to initiating checkout.

"Checkout Confirmation" means the electronic acknowledgment issued by EIDO upon successful submission of an Order, confirming receipt of the Order but not constituting acceptance of it.

"Chargeback Abuse" means the initiation of a payment dispute, chargeback, or reversal through a card issuer, payment platform, or financial institution in circumstances where the underlying Order was legitimately fulfilled by EIDO in accordance with these Terms.

"Content" means all text, images, photographs, video, audio, graphics, logos, software, data, user interfaces, and other materials made available on or through the Site and Services.

"Customer" or "you" or "your" means any individual accessing the Site or Services, whether or not a purchase is made, including registered account holders and guest purchasers.

"DDU" means Delivered Duty Unpaid, a shipping arrangement under which the Customer is the importer of record and is solely responsible for all customs duties, import taxes, VAT, GST, brokerage fees, and any other charges imposed by the destination country's customs authorities.

"DDP" means Delivered Duty Paid, a shipping arrangement under which EIDO or its logistics partner arranges for payment of applicable customs duties and import taxes on the Customer's behalf, as explicitly stated at checkout.

"Defective Product" means a Product that fails to comply with a consumer guarantee under the ACL or an equivalent statutory guarantee under the mandatory laws of the Customer's jurisdiction, including a product that is not of acceptable quality, not fit for its intended purpose, or does not match its description.

"Dispatch" means the moment EIDO or its fulfilment partner physically hands over a Customer's Order to the carrier for delivery, at which point a shipping confirmation and tracking information are (where available) sent to the Customer.

"Drop" means a limited-availability product release event where specific Products are made available for purchase for a defined or undefined period, typically at limited quantities.

"EIDO" or "we" or "us" or "our" means the EIDO™ business entity operating the Site and Services, incorporated and operated in Queensland, Australia.

"EIDO Marks™" means the non-cash, non-redeemable (for cash) store credit units issued by EIDO to eligible Customers as part of the returns, exchange, and rewards programs described in Section 12 of these Terms. EIDO Marks™ are not legal tender, not financial products, and carry no monetary value outside the Services.

"Force Majeure Event" has the meaning given in Section 30.

"Including" means "including without limitation," and cognate expressions have corresponding meanings.

"Intellectual Property Rights" means all current and future intellectual property rights throughout the world, including patents, trade marks, service marks, copyright, registered and unregistered design rights, domain names, trade secrets, know-how, database rights, and all applications and rights to apply for any of the foregoing.

"Marks Policy" means the policy governing the issuance, use, transfer, and expiry of EIDO Marks™, as published on the Site from time to time and incorporated into these Terms by reference.

"Order" means a Customer's offer to purchase one or more Products via the Services.

"Prohibited Jurisdiction" means any country, territory, or region subject to comprehensive trade sanctions, export restrictions, or embargo administered by Australia (including DFAT), the United States (OFAC), the United Kingdom (OFSI), the European Union, or the United Nations Security Council, as updated from time to time.

"Products" means any goods (including apparel, accessories, and related items) listed for sale on the Site.

"Privacy Policy" means EIDO's Privacy Policy as published on the Site, incorporated into these Terms by reference.

"Return & Exchange Policy" means EIDO's Return & Exchange Policy as published on the Site, incorporated into these Terms by reference.

"Services" means the Site, all Content, features, communications (including SMS/MMS), purchasing channels, fulfilment services, customer support services, EIDO Marks™ program, and any other products or services provided by EIDO, whether accessed directly or through third-party integrations.

"Shipping Policy" means EIDO's Shipping Policy as published on the Site, incorporated into these Terms by reference.

"Site" means the website accessible at www.eidoofficial.com and any subdomains, mobile applications, or successor URLs operated by EIDO.

"User Content" has the meaning given in Section 18.


SECTION 2 — ACCEPTANCE OF TERMS & MODIFICATIONS

2.1 Binding Agreement

These Terms, together with all policies incorporated by reference, form the entire and binding agreement between you and EIDO with respect to the Services. By accessing the Site, creating an account, placing an Order, or otherwise using any part of the Services, you represent that:

(a) you have read, understood, and agree to be legally bound by these Terms and all incorporated policies; (b) you have the legal capacity and authority to enter into a binding agreement under the laws of your jurisdiction; and (c) if you are acting on behalf of a legal entity, you have the authority to bind that entity to these Terms.

2.2 Modifications to These Terms

EIDO reserves the right to amend, update, or replace these Terms at any time without prior notice, except where notice is required by applicable mandatory law. Changes will be effective upon posting to the Site, with the updated effective date displayed at the top of this document. It is your responsibility to review these Terms regularly.

Your continued use of the Site or Services after any modification constitutes your unconditional acceptance of the amended Terms. If you do not agree to any modification, you must immediately cease all use of the Services.

2.3 Modifications to the Services

EIDO may, at any time and without liability to you, modify, suspend, restrict access to, or permanently discontinue any aspect of the Services, including specific Products, features, content, pricing, or availability in particular regions.

2.4 Policy Hierarchy

In the event of any inconsistency between these Terms and any incorporated policy (Shipping Policy, Return & Exchange Policy, Privacy Policy, or Marks Policy), these Terms will prevail to the extent of any inconsistency, unless the incorporated policy expressly states otherwise.


SECTION 3 — ELIGIBILITY, ACCOUNTS & SECURITY

3.1 Age & Eligibility

There is no minimum age to browse the Site. However, the following conditions apply to account creation and the placement of Orders:

(a) Age of Majority: If you are under the age of majority in your jurisdiction (which is 18 years of age in most jurisdictions, including Australia), you may only create an account or place an Order with the express consent and active supervision of a parent or legal guardian. By placing an Order, the parent or legal guardian agrees to be bound by these Terms on your behalf and accepts full responsibility for all transactions.

(b) Verification: EIDO reserves the right to request reasonable verification of age or parental/guardian consent at any time, and to refuse or cancel Orders where such verification is not provided or is unsatisfactory.

(c) Sanctions Compliance: You represent that you are not located in, a national or resident of, or acting on behalf of any person located in, a Prohibited Jurisdiction, and that you are not a person or entity designated on any sanctions list administered by the Australian Government, the United States Government (including OFAC's SDN list), the United Kingdom Government, the European Union, or the United Nations.

3.2 Account Creation

When you create an account, you agree to:

(a) provide accurate, current, and complete information; (b) maintain and promptly update your account information to keep it accurate and complete; (c) maintain the confidentiality of your login credentials; (d) accept full responsibility for all activities that occur under your account, including purchases made by others using your credentials; and (e) notify EIDO immediately at clientcare@eidoofficial.com if you suspect any unauthorised access to or use of your account.

3.3 Account Suspension & Termination

EIDO may, at its sole discretion and without liability or prior notice:

(a) suspend or terminate your account; (b) remove or restrict your access to the Services; (c) cancel any pending Orders; (d) revoke or zero EIDO Marks™ balances; and/or (e) permanently ban you from creating new accounts,

where EIDO reasonably believes you have: (i) breached any provision of these Terms; (ii) engaged in fraudulent, abusive, or unlawful conduct; (iii) initiated or threatened Chargeback Abuse; (iv) engaged in commercial resale or bulk purchasing without prior written consent; or (v) engaged in any conduct that, in EIDO's reasonable opinion, is harmful to EIDO, other customers, or third parties.

3.4 One Account Per Person

You may not create or maintain more than one account per individual. EIDO reserves the right to merge, link, or terminate duplicate accounts.


SECTION 4 — PRODUCTS, DROPS & AVAILABILITY

4.1 Limited-Run Nature

EIDO produces limited-run, small-batch collections. Products may sell out quickly and without advance notice. EIDO makes no representation or warranty as to the continued availability of any Product, collection, colourway, size, or variant.

4.2 Cart Not a Reservation

Adding a Product to your Cart does not reserve that Product, guarantee its availability, or constitute any form of agreement between you and EIDO. A Product is only allocated to your Order upon successful completion of checkout and confirmed payment.

4.3 Product Descriptions & Images

EIDO makes reasonable efforts to accurately describe and depict its Products, including through photography, video, and written descriptions. However:

(a) product images are displayed on a variety of devices with different screen calibrations; actual colours, textures, and finishes may vary from what is depicted; (b) minor variations in colour, texture, weight, and construction may occur across production runs as a natural consequence of artisanal and small-batch manufacturing; and (c) measurements, weights, and other specifications are approximate and may vary by size.

Such minor variations do not constitute a Defective Product or a basis for return under Section 12, except where such variations constitute a failure to meet a consumer guarantee under the ACL or equivalent mandatory law.

4.4 Changes to Products & Collections

EIDO may, without notice or liability, change, limit, update, or permanently discontinue any Product, colourway, size, collection, or feature at any time. Discontinued Products do not entitle Customers to any form of compensation.

4.5 Quantity Limits

EIDO may, at its sole discretion, limit the quantity of Products that may be purchased per person, per household, or per transaction. Such limits may be applied to prevent bulk purchasing, resale, or to ensure equitable access during Drops.


SECTION 5 — PRICING, CURRENCY, TAXES & FOREIGN EXCHANGE

5.1 Display Currency

All prices on the Site are displayed in Australian Dollars (AUD) by default, unless an alternative currency is displayed at checkout or selected by the Customer. Prices are inclusive of Australian Goods and Services Tax (GST) where applicable under Australian law.

5.2 Currency Conversion

Where the Site or checkout offers display or settlement in a currency other than AUD, conversion is performed at then-current exchange rates. EIDO does not control, and accepts no liability for, the exchange rates applied by your bank, card issuer, or payment processor, or for any foreign exchange fees, cross-border transaction fees, or currency conversion charges levied by those parties.

5.3 Taxes, Duties & Import Fees

Unless explicitly stated otherwise at checkout:

(a) prices do not include customs duties, import taxes, VAT, GST, or any other taxes or levies imposed by the destination country's authorities; (b) you are solely responsible for determining and paying any applicable taxes and import charges in your jurisdiction; and (c) EIDO will not reimburse taxes or duties paid by a Customer, even in the event of a return or exchange, except where required by applicable mandatory law.

Where checkout explicitly states that duties and taxes are included (a DDP arrangement), EIDO or its logistics partner will arrange collection and payment on the Customer's behalf to the applicable extent.

5.4 Price Changes

Prices are subject to change at any time without prior notice. Price changes do not affect Orders that have already been accepted by EIDO (i.e., Orders that have been dispatched).

5.5 Pricing Errors

EIDO makes reasonable efforts to ensure pricing accuracy on the Site. In the event of an obvious or manifest pricing error (including, but not limited to, prices that are clearly incorrect or implausibly low), EIDO reserves the right to:

(a) correct the price and notify the Customer prior to dispatch; (b) offer the Customer the option to proceed at the correct price; or (c) cancel the affected Order and provide a full refund to the original payment method within a reasonable time.

EIDO will not be bound to honour an Order placed at a manifestly erroneous price. This provision does not limit any non-excludable rights you have under the ACL or applicable mandatory consumer laws.

5.6 No Price Matching or Rainchecks

EIDO does not offer price matching, price adjustments on past purchases, or rainchecks on sold-out Products, unless required by applicable law.


SECTION 6 — PAYMENT TERMS, PROCESSING & FRAUD PREVENTION

6.1 Accepted Payment Methods

EIDO accepts the payment methods displayed at checkout at the time of purchase, which may include credit cards, debit cards, digital wallets, and buy-now-pay-later (BNPL) services. Accepted methods may change without notice.

6.2 Payment Authorisation

By submitting an Order, you:

(a) authorise EIDO and its designated third-party payment processors to charge your nominated payment method for the total amount due, including any applicable taxes and shipping costs; (b) represent and warrant that you are the authorised holder of the payment method, or that you have the explicit authorisation of the authorised holder to use it; and (c) consent to those payment processors processing your payment information in accordance with their own privacy policies and terms.

6.3 Payment Timing

Payment must be successfully authorised and cleared before EIDO will commence processing or dispatching your Order. For pre-order or deposit arrangements, see Section 9.

6.4 Failed Payments

If payment fails or is declined, your Order will not be processed. EIDO accepts no liability for losses resulting from payment failures. It is your responsibility to ensure sufficient funds are available and that your payment method is valid.

6.5 Third-Party Payment Processors

EIDO uses third-party payment processors (including but not limited to Shopify Payments and associated networks). EIDO does not store full payment card details on its servers. By using these processors, you agree to their applicable terms of service and privacy policies. EIDO accepts no responsibility for errors, outages, data incidents, or any other failures by third-party payment processors.

6.6 Fraud Detection & Order Refusal

EIDO employs automated and manual fraud detection tools. We reserve the right, without liability, to:

(a) decline, delay processing of, or cancel any Order where EIDO reasonably suspects fraud, identity theft, the use of stolen payment credentials, or other suspicious activity; (b) request additional verification information (including photo ID) before processing a high-value Order or an Order flagged by our fraud systems; and (c) permanently ban any account or payment method associated with confirmed fraudulent activity.

Customers affected by a fraud-related Order cancellation will be notified and, where payment was processed, will receive a full refund to the original payment method.


SECTION 7 — CHARGEBACK ABUSE & REMEDIES

7.1 Legitimate Chargeback Rights

EIDO fully respects your right to raise a legitimate payment dispute or chargeback with your financial institution in circumstances where fraud has genuinely occurred, where EIDO has materially failed to fulfil a legitimate Order, or where you have been unable to resolve a genuine dispute with EIDO through our customer support channels.

7.2 Chargeback Abuse Defined

Chargeback Abuse occurs where a Customer initiates a chargeback or payment dispute through a card issuer, bank, or payment platform in connection with a transaction that was:

(a) legitimately fulfilled by EIDO in accordance with these Terms and the relevant Order; (b) subject to a signed-for or tracked delivery confirmation; (c) returned without following EIDO's Return & Exchange Policy; or (d) disputed for a reason that is false, misleading, or unsupported by the facts.

7.3 Consequences of Chargeback Abuse

Where EIDO determines, in its reasonable discretion, that a Customer has engaged in Chargeback Abuse, EIDO may:

(a) permanently suspend or terminate the Customer's account and any associated accounts; (b) revoke all EIDO Marks™ accumulated by the Customer; (c) permanently ban the Customer's email address, shipping address, device fingerprint, and associated payment methods from future purchases; (d) pursue recovery of the disputed amount (plus EIDO's reasonable administrative and legal costs) through appropriate legal channels; and (e) report the conduct to relevant fraud prevention databases and authorities.

7.4 Dispute First

Before initiating any chargeback, you agree to first contact EIDO at clientcare@eidoofficial.com and allow a reasonable period (no less than 10 Business Days) for EIDO to investigate and resolve your concern. This obligation does not limit any non-excludable statutory rights you may have.


SECTION 8 — ORDER FORMATION, CONFIRMATION & ACCEPTANCE

8.1 Order as Offer

Your submission of an Order constitutes a binding offer to purchase the specified Products at the stated price, subject to these Terms. The Order is not binding on EIDO until accepted in accordance with Section 8.3.

8.2 Checkout Confirmation

Upon successful submission of your Order and payment authorisation, EIDO will send a Checkout Confirmation to your registered email address. The Checkout Confirmation acknowledges receipt of your Order and payment details only; it does not constitute acceptance of your Order by EIDO.

8.3 Contract Formation — Acceptance

A binding contract of sale between you and EIDO is formed only at the moment EIDO physically dispatches the Product(s) to the carrier. A shipping confirmation email (where applicable) constitutes notice of such dispatch and the formation of the contract of sale.

8.4 Right to Decline Orders

Notwithstanding receipt of your Order and payment, EIDO reserves the right to decline or cancel any Order, in whole or in part, at any time before dispatch, including (without limitation) where:

(a) the Product is no longer available; (b) a pricing error has occurred; (c) fraud is suspected; (d) you are located in a Prohibited Jurisdiction; (e) quantity limits have been exceeded; (f) delivery to your specified address is not feasible; or (g) there are grounds under export control or sanctions laws.

Where EIDO declines or cancels your Order after payment has been processed, EIDO will issue a full refund to your original payment method within a reasonable timeframe. EIDO will not be liable for any loss or inconvenience arising from a declined Order.

8.5 Partial Dispatch

Where an Order contains multiple Products, EIDO may dispatch Products separately and at different times. Each dispatch constitutes a separate acceptance in respect of the dispatched items only.

8.6 Order Amendments

Once an Order has been submitted, it may not be amended by the Customer. If you wish to change an Order, you must contact clientcare@eidoofficial.com immediately; EIDO will endeavour (but is not obligated) to accommodate changes prior to dispatch.


SECTION 9 — PRE-ORDERS & RESERVATION PROGRAMS

9.1 Nature of Pre-Orders

EIDO may, from time to time, offer Products for pre-order purchase prior to the availability of physical stock. Pre-order listings will indicate the expected dispatch timeframe, which is an estimate only and is subject to change.

9.2 Payment for Pre-Orders

Pre-orders may require full payment at the time of ordering or a non-refundable deposit, as specified in the pre-order listing. Where a deposit is taken, the remaining balance will be charged at or before dispatch.

9.3 Pre-Order Delays

Pre-order timeframes may change due to manufacturing, supply chain, or logistics delays. EIDO will use reasonable efforts to notify Customers of material delays. Delays in pre-order fulfilment do not automatically entitle a Customer to cancellation or refund, except:

(a) where the ACL or other applicable mandatory law provides otherwise; or (b) where EIDO determines, in its sole discretion, to offer cancellation and refund.

9.4 Pre-Order Cancellation by EIDO

If EIDO is unable to fulfil a pre-order (e.g., due to a supplier failure or force majeure), EIDO will notify affected Customers and provide a full refund to the original payment method, or, at the Customer's election, EIDO Marks™ of equivalent value.

9.5 Consumer Rights Not Affected

Nothing in this Section limits any non-excludable rights you have under the ACL or applicable mandatory laws in the event of significant delay or non-delivery of a pre-ordered product.


SECTION 10 — GLOBAL SHIPPING, DELIVERY, RISK OF LOSS & TITLE

10.1 Global Shipping

EIDO ships to most international destinations. Available shipping options, estimated delivery timeframes, and associated costs are displayed at checkout and may vary by destination. By placing an Order, you agree to the applicable shipping terms.

10.2 Delivery Timeframes

All delivery timeframes communicated by EIDO or its logistics partners are estimates only, based on information available at the time of dispatch. Actual delivery may be affected by:

(a) carrier capacity, route scheduling, or operational decisions; (b) customs and border processing procedures; (c) public holidays in the origin or destination country; (d) adverse weather, natural disasters, or acts of God; (e) industrial action or strikes affecting carriers or ports; (f) Force Majeure Events as defined in Section 30; or (g) any other circumstances beyond EIDO's reasonable control.

EIDO accepts no liability for delays in delivery arising from any of the above circumstances.

10.3 Risk of Loss

Risk of loss, damage, or theft of Products passes to the Customer upon delivery of the Products to the delivery address specified in the Order, or upon collection from a designated collection point, whichever occurs first.

10.4 Transfer of Title

Title (legal ownership) in the Products passes to the Customer upon the later of: (a) full receipt and clearance of payment; and (b) Dispatch of the Products by EIDO.

10.5 Delivery Address Accuracy

You are solely responsible for providing an accurate, complete, and deliverable shipping address at checkout. EIDO will not be liable for:

(a) non-delivery resulting from an incorrect, incomplete, or undeliverable address; (b) additional shipping charges incurred to re-attempt delivery; (c) loss or theft of a parcel following confirmed delivery to the address specified by the Customer; or (d) any costs arising from an Abandoned Parcel.

If a parcel is returned to EIDO as an Abandoned Parcel, EIDO may, at its discretion:

(i) deduct the original and return shipping costs, applicable handling fees, and any non-recoverable customs charges from any amount to be refunded or credited; and (ii) issue the remainder as EIDO Marks™ store credit rather than a refund to the original payment method, except where a refund is required by applicable mandatory law.

10.6 Signature Requirements

EIDO and its carriers may require a signature upon delivery. If no signature is obtained and the parcel is subsequently lost or stolen, EIDO may be limited in its ability to pursue a claim with the carrier and accepts no responsibility for such loss beyond what is required by applicable mandatory law.

10.7 Tracking

Where tracking is available, EIDO will provide tracking information via the shipping confirmation email. Tracking information is provided by the carrier and may not always be real-time or accurate. EIDO accepts no responsibility for inaccuracies in carrier-provided tracking data.

10.8 Full Shipping Terms

The Shipping Policy (incorporated by reference) contains additional detail on shipping methods, costs, regions, and conditions. In the event of any inconsistency, the Shipping Policy governs specific shipping matters.


SECTION 11 — CUSTOMS, IMPORT DUTIES & YOU AS IMPORTER OF RECORD

11.1 DDU Shipments — Default

Unless the checkout explicitly states that duties and taxes are included (DDP), all international shipments from EIDO are Delivered Duty Unpaid (DDU). Under DDU terms:

(a) you are the importer of record for customs purposes; (b) you are solely responsible for all import duties, VAT, GST, customs brokerage fees, clearance charges, and any other applicable levies imposed by the destination country's customs authorities; (c) these charges are not included in the price you paid to EIDO; and (d) EIDO has no ability to accurately predict, calculate, or guarantee the amount of import charges you will face.

11.2 Customs Clearance Obligations

You are responsible for:

(a) providing any information or documentation required by customs authorities in your jurisdiction; (b) paying any import duties, taxes, or fees assessed by customs within the required timeframe; and (c) complying with all import restrictions, prohibitions, and regulations applicable in your jurisdiction.

EIDO accepts no responsibility for delays arising from customs clearance processes.

11.3 Customs Refusal, Seizure, or Destruction

If a parcel is seized, held, returned, or destroyed by customs authorities as a result of:

(a) your failure to provide required information or documentation; (b) your failure to pay applicable duties or taxes; (c) your refusal of delivery at customs; (d) import restrictions applicable to the Product in your jurisdiction; or (e) any other action or omission on your part,

EIDO accepts no responsibility for any resulting loss. Any amount that may be refunded or credited will be calculated net of original shipping costs, return shipping costs (if any), and any non-recoverable customs fees. Such refund or credit may be issued as EIDO Marks™ unless a cash refund is required by applicable mandatory law.

11.4 DDP Shipments — Where Explicitly Stated

Where checkout explicitly states that duties and taxes are included (DDP):

(a) EIDO or its logistics partner will arrange for collection and payment of applicable duties and taxes on your behalf; (b) the amount collected at checkout is an estimate based on available data; and (c) EIDO reserves the right to seek recovery of any additional import costs assessed by customs authorities above the estimated amount collected, and you agree to pay such additional amounts within 10 Business Days of receiving notice from EIDO.

11.5 Prohibited Imports

It is your responsibility to ensure that the Products you order are not prohibited from import into your jurisdiction. EIDO accepts no liability for Products detained or destroyed because they are prohibited or restricted in your destination country.


SECTION 12 — RETURNS, EXCHANGES & EIDO MARKS™ STORE CREDIT

12.1 General Policy — No Cash Refund (Subject to Statutory Rights)

Except as required under the ACL (Section 14), applicable mandatory consumer laws in your jurisdiction (Section 15), or as expressly stated in these Terms, EIDO does not offer refunds to the original payment method for change-of-mind returns or exchanges. Approved returns are issued as EIDO Marks™ store credit, as further described below.

12.2 Eligibility for Return

To be eligible for a return and issuance of EIDO Marks™, the following conditions must be met (subject to the Return & Exchange Policy for full details):

(a) the return request must be initiated within the timeframe specified in the Return & Exchange Policy; (b) the Product must be in its original, unworn, unwashed, and unaltered condition; (c) all original tags must be intact and attached; (d) the Product must be in its original packaging (where applicable); (e) the Product must not be a final sale, limited-edition, or Drop item expressly designated as non-returnable at the time of purchase; and (f) proof of purchase must be provided.

12.3 Non-Returnable Items

The following items are not eligible for return or exchange under any circumstances (except where required by applicable mandatory law for Defective Products):

(a) items expressly designated as "Final Sale" or "Non-Returnable" at the time of purchase; (b) items that have been worn, washed, altered, or damaged by the Customer; (c) items without original tags or packaging; (d) customised or personalised items; (e) items that pose a hygiene risk if returned (including, where applicable, undergarments or swimwear, if applicable to EIDO's range); and (f) items not purchased directly from eidoofficial.com (including items purchased from authorised or unauthorised resellers).

12.4 Return Shipping & Costs

Unless a return is required under the ACL or other applicable mandatory law (in which case EIDO will cover reasonable return shipping costs), the Customer is solely responsible for:

(a) all return shipping costs; (b) any re-import duties, taxes, or customs fees applicable to the returned goods; and (c) ensuring the parcel is adequately packaged and insured during transit back to EIDO.

EIDO is not responsible for Products lost or damaged in transit during a return.

12.5 Inspection & Approval

Upon receipt of a returned Product, EIDO will inspect it within a reasonable timeframe. If the return does not meet the eligibility criteria in Section 12.2, EIDO may:

(a) return the Product to the Customer at the Customer's cost; or (b) notify the Customer and provide the Customer with the option to collect or arrange re-delivery within a specified period, after which EIDO may dispose of the item.

12.6 EIDO Marks™ — Nature & Terms

EIDO Marks™ are store credit units issued by EIDO. The following terms apply:

(a) Non-Cash: EIDO Marks™ are not legal tender, not redeemable for cash, and are not financial products under the Corporations Act 2001 (Cth) or any equivalent legislation, except to the extent required by applicable mandatory law; (b) Non-Transferable: EIDO Marks™ may not be transferred, sold, or gifted between accounts; (c) No Expiry: EIDO Marks™ do not expire while your account remains active and in good standing, unless otherwise required by law or specified in the Marks Policy; (d) Account Suspension: If your account is suspended or terminated for breach of these Terms, any EIDO Marks™ balance may be forfeited; (e) Adjustment & Revocation: EIDO may adjust or revoke EIDO Marks™ issued in error, or as a result of fraudulent activity, Chargeback Abuse, or other misuse; (f) Value: EIDO Marks™ are issued at a rate of 1 Mark = 1 AUD equivalent credit, unless otherwise stated; and (g) Full Terms: The Marks Policy contains full terms governing EIDO Marks™ issuance, use, and revocation.

12.7 Non-Refundable Amounts

Unless required by applicable mandatory law, the following amounts are non-refundable in all cases:

(a) original shipping and handling charges; (b) import duties, taxes, and customs fees paid by the Customer; and (c) any third-party fees (including payment processing fees and BNPL administrative fees).


SECTION 13 — DEFECTIVE & NON-CONFORMING GOODS

13.1 Statutory Rights — Defective Products

Nothing in Section 12 applies to limit or exclude any rights you have in respect of a Defective Product under the ACL or equivalent mandatory laws in your jurisdiction. Your statutory rights in respect of Defective Products are set out in Section 14 (ACL) and Section 15 (international consumers).

13.2 Reporting Defects

If you receive a Product that you believe is defective or does not match its description, you must:

(a) contact EIDO at clientcare@eidoofficial.com as soon as reasonably practicable and in any event within the timeframe required by applicable law or specified in the Return & Exchange Policy; (b) provide photographic evidence of the alleged defect or non-conformity; and (c) retain the Product, original packaging, and any accompanying documentation pending EIDO's assessment.

13.3 EIDO's Assessment

EIDO will assess all defect claims within a reasonable time. If EIDO determines that a Product is Defective, EIDO will (in accordance with its obligations under the ACL and/or applicable mandatory laws) offer a remedy as appropriate, which may include repair, replacement, or refund.

13.4 Damage by Customer

The following do not constitute a defect for the purposes of these Terms or the ACL:

(a) damage caused by misuse, mishandling, accidents, or failure to follow care instructions; (b) normal wear and tear; (c) minor variations in colour, texture, or finish arising from the nature of small-batch production, unless such variation is material and amounts to a failure to match the product's description; and (d) damage caused by exposure to conditions not reasonably foreseeable for the type of Product.


SECTION 14 — AUSTRALIAN CONSUMER LAW — NON-EXCLUDABLE STATUTORY RIGHTS

14.1 Statutory Guarantees

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy to which you are entitled under the ACL, including without limitation:

(a) the guarantee that goods are of acceptable quality (s 54 ACL); (b) the guarantee that goods are fit for a disclosed purpose (s 55 ACL); (c) the guarantee that goods match their description (s 56 ACL); (d) the guarantee that goods match sample or demonstration model (ss 57–58 ACL); (e) the guarantee as to title and undisturbed possession (ss 51–52 ACL); and (f) the guarantee that spare parts and repair facilities are reasonably available (s 58 ACL).

14.2 Limitation of EIDO's ACL Liability

To the maximum extent permitted by section 64A of the ACL, and only where the Products are not of a kind ordinarily acquired for personal, domestic, or household use, EIDO's liability for failure to comply with a consumer guarantee is limited, at EIDO's option, to:

(a) for goods: the repair or replacement of the goods, the supply of equivalent goods, or the payment of the cost of having the goods repaired or replaced or equivalent goods supplied; and (b) for services: the re-supply of the services or the payment of the cost of having the services re-supplied.

This limitation does not apply where: (i) the failure amounts to a major failure under the ACL; or (ii) the limitation would be contrary to mandatory law.

14.3 Major Failure

Where a Product fails to comply with a consumer guarantee and the failure is a major failure, you are entitled, at your election, to:

(a) reject the goods and receive a full refund to the original payment method, replacement goods of the same type, or compensation for any reduction in value below the price paid; and (b) seek compensation from EIDO for any other reasonably foreseeable loss or damage suffered as a result of the major failure.


SECTION 15 — INTERNATIONAL CONSUMER RIGHTS DISCLOSURES

15.1 Prevailing Rights

Nothing in these Terms limits, excludes, or waives any non-excludable consumer right, remedy, or protection to which you are entitled under the mandatory laws of your jurisdiction of residence. To the extent of any conflict between these Terms and your non-waivable local rights, your local rights prevail.

15.2 EEA Consumer Rights (EU Distance Selling / Consumer Rights Directive)

If you are a consumer habitually resident in the European Economic Area (EEA), the following apply in addition to these Terms:

(a) Right of Withdrawal (Cooling-Off Period): You have the right to withdraw from most online purchase contracts within 14 calendar days of the date on which you (or a third party nominated by you) take physical possession of the goods, without giving any reason, and receive a refund to your original payment method.

(b) How to Withdraw: To exercise your right of withdrawal, you must inform EIDO of your decision by a clear statement (e.g., email to clientcare@eidoofficial.com) before the 14-day withdrawal period expires. You may use the model withdrawal form, which is available in the Return & Exchange Policy.

(c) Returning Goods: You must return the goods without undue delay and in any event no later than 14 days after communicating your withdrawal to us. You bear the direct cost of returning the goods.

(d) Refund: EIDO will issue a refund to the original payment method, including the original standard delivery cost (but not any supplementary delivery costs if you chose a method other than the least expensive standard delivery offered), within 14 days of receiving the returned goods or proof of return, whichever is earlier.

(e) Diminished Value: You are responsible for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics, and functioning.

(f) Exclusions: The right of withdrawal does not apply to goods that are sealed for health or hygiene protection reasons and have been unsealed after delivery, or to clearly personalised or customised goods.

15.3 United Kingdom Consumer Rights

If you are a consumer ordinarily resident in the United Kingdom, you have equivalent rights to those described in Section 15.2 under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK), with a 14-day cooling-off period. The same terms and conditions apply as set out in Section 15.2.

Additionally, UK consumers have rights under the Consumer Rights Act 2015 in respect of goods that are not of satisfactory quality, not fit for purpose, or not as described.

15.4 United States Consumer Rights

If you are a consumer in the United States, the following apply:

(a) State-Specific Rights: Some US states provide specific consumer protections (including statutory refund rights) that may apply to your purchase. Where such protections apply under mandatory state law, EIDO will honour them.

(b) California: Consumers in California have specific rights under the California Consumer Privacy Act (CCPA) regarding their personal information. Please refer to EIDO's Privacy Policy for full details. California consumers also have protections under California's Unfair Competition Law and False Advertising Law.

(c) FTC Compliance: EIDO's marketing and advertising practices are subject to the requirements of the US Federal Trade Commission Act.

15.5 Canadian Consumer Rights

If you are a consumer in Canada:

(a) your statutory rights may vary by province; (b) consumer protection legislation in your province (including, without limitation, the Consumer Protection Act, 2002 (Ontario) and equivalent legislation in other provinces) may provide you with additional rights, including in respect of internet agreements and distance contracts; (c) the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation govern EIDO's handling of your personal information in Canada; and (d) SMS messaging is subject to Canada's Anti-Spam Legislation (CASL) as described in Section 16.

15.6 New Zealand Consumer Rights

If you are a consumer in New Zealand, you have rights under the Consumer Guarantees Act 1993 (NZ) and the Fair Trading Act 1986 (NZ) that are substantially equivalent to those under the ACL. These rights apply regardless of any contrary provision in these Terms.

15.7 Other Jurisdictions

EIDO acknowledges that consumers in other jurisdictions may have additional or different statutory rights under their local mandatory laws. EIDO will comply with applicable mandatory consumer laws in all jurisdictions in which it sells Products.


SECTION 16 — MOBILE MESSAGING (SMS/MMS) PROGRAM TERMS

16.1 Program Overview

EIDO operates an SMS/MMS messaging program through which enrolled subscribers may receive:

(a) transactional messages, including Order confirmations, dispatch notifications, delivery updates, and return/exchange communications; and (b) promotional and marketing messages, including new collection announcements, Drop alerts, exclusive offers, cart abandonment reminders, and brand content.

16.2 Opt-In & Consent

By providing your mobile number and affirmatively opting in to EIDO's SMS/MMS program (whether via checkout, account creation, a web form, or other opt-in mechanism), you:

(a) expressly consent to receiving recurring automated text messages from EIDO to the mobile number provided; (b) confirm that the mobile number provided is your own and that you are the authorised user and subscriber; and (c) acknowledge that consent to receive marketing messages is entirely voluntary and is not a condition of purchasing Products or using the Services.

16.3 Age Restriction for SMS Program

Do not enrol in the SMS/MMS program if you are under the age of majority in your jurisdiction, unless your parent or legal guardian has consented to and supervises your participation.

16.4 Message Frequency

Message frequency varies and may increase during active campaign periods, Drops, or other events.

16.5 Costs

EIDO does not charge for SMS/MMS messages. However, your mobile carrier's standard message and data rates may apply. You are responsible for all such carrier charges.

16.6 Opt-Out

You may opt out of EIDO's marketing SMS/MMS program at any time by:

(a) replying STOP to any marketing SMS/MMS message received from EIDO; or (b) following any unsubscribe link included in the message, where available; or (c) contacting EIDO at clientcare@eidoofficial.com and requesting removal.

Upon receiving a valid STOP request, EIDO will send one final confirmation message acknowledging your opt-out. Following that, you will not receive further marketing messages. Opting out of marketing SMS does not affect your receipt of transactional messages related to active Orders.

16.7 Help

For assistance with the SMS program, reply HELP to any EIDO SMS/MMS message, or contact clientcare@eidoofficial.com.

16.8 Number Changes

If you change your mobile number, you must re-subscribe using your new number to continue receiving SMS/MMS messages. EIDO is not responsible for messages sent to an outdated number.

16.9 Carrier Liability

Mobile carriers are not liable for delayed or undelivered messages. EIDO is not responsible for any failure to deliver SMS/MMS messages arising from carrier errors, network outages, or other circumstances beyond EIDO's control.

16.10 Jurisdiction-Specific Compliance

The following jurisdiction-specific rules apply in addition to the above:

(a) United States — TCPA: SMS/MMS messaging to US subscribers complies with the Telephone Consumer Protection Act (TCPA) and applicable FCC regulations. Prior express written consent is obtained before sending marketing messages to US subscribers.

(b) United Kingdom — PECR: SMS/MMS messaging to UK subscribers complies with the Privacy and Electronic Communications Regulations 2003 (PECR).

(c) Canada — CASL: Electronic messages sent to Canadian subscribers comply with Canada's Anti-Spam Legislation (CASL), including the requirement for express or implied consent as applicable.

(d) Australia — Spam Act 2003: All commercial electronic messages sent to Australian subscribers comply with the Spam Act 2003 (Cth), including the requirements for consent, identification, and an accessible unsubscribe facility.

(e) European Economic Area / UK (GDPR/UK GDPR): For subscribers in the EEA or UK, SMS/MMS marketing messages are sent only with your freely given, specific, informed, and unambiguous consent in accordance with the General Data Protection Regulation (EU) 2016/679 and/or the UK GDPR. You may withdraw consent at any time without detriment.


SECTION 17 — INTELLECTUAL PROPERTY, BRAND PROTECTION & LICENCE

17.1 Ownership

All Intellectual Property Rights in and to the Site, the Services, and all Content are owned by or exclusively licensed to EIDO, unless expressly stated otherwise. This includes, without limitation:

(a) the EIDO™ name, wordmark, logo, and symbol; (b) EIDO Marks™ (the store credit program name and associated branding); (c) all product designs, silhouettes, technical specifications, and creative works; (d) all photographs, video, film, and audiovisual content commissioned by or belonging to EIDO; (e) all website code, user interfaces, software, and architecture; (f) all copy, editorial content, campaign concepts, and brand narrative; and (g) all trade secrets, know-how, and proprietary methods.

17.2 Trade Marks

EIDO™ and EIDO Marks™ are trade marks of EIDO. All other brand names, product names, trade marks, and trade names appearing on the Site are the property of their respective owners. You must not use, reproduce, or display any EIDO trade mark without EIDO's prior written consent.

17.3 Limited Licence to Use the Site

EIDO grants you a limited, revocable, non-exclusive, non-transferable, personal licence to access and use the Site and Services solely for your own personal, non-commercial purposes in accordance with these Terms. This licence does not include any right to:

(a) reproduce, copy, distribute, or transmit any Content; (b) modify, adapt, translate, or create derivative works of any Content; (c) reverse-engineer, decompile, or disassemble any aspect of the Site; (d) scrape, crawl, spider, or extract data from the Site by automated means; (e) frame or embed the Site or any Content within another website; (f) use any Content for commercial purposes; or (g) remove or alter any copyright, trade mark, or other proprietary notice.

17.4 Infringement Notification

If you believe any Content on the Site infringes your Intellectual Property Rights, please contact us at clientcare@eidoofficial.com with the following information:

(a) your contact details; (b) identification of the work you claim has been infringed; (c) identification of the allegedly infringing material and its location on the Site; (d) a statement that you have a good faith belief that the use is not authorised; and (e) a statement that the information in your notice is accurate.

17.5 Anti-Counterfeiting

EIDO actively protects its Intellectual Property Rights globally. Counterfeit or unauthorised reproduction of EIDO Products or branding constitutes trade mark infringement and may give rise to civil and criminal liability. EIDO will pursue all available legal remedies against counterfeiters and infringers.


SECTION 18 — USER CONTENT, REVIEWS & FEEDBACK

18.1 Definition of User Content

"User Content" means any text, images, photographs, video, reviews, comments, feedback, ideas, suggestions, or other materials that you submit, post, upload, or otherwise transmit to or through the Services.

18.2 Licence Grant

By submitting User Content, you grant EIDO an irrevocable, perpetual, worldwide, royalty-free, non-exclusive, sublicensable, and transferable licence to use, host, store, reproduce, modify, adapt, translate, publish, distribute, display, and create derivative works of your User Content in connection with the Services and EIDO's marketing and promotional activities, across all media channels and formats now known or hereafter developed, without further consent, notice, or compensation to you.

18.3 Your Representations

By submitting User Content, you represent and warrant that:

(a) you own the User Content or have all necessary rights, permissions, and licences to grant the rights described in Section 18.2; (b) the User Content does not infringe any third party's Intellectual Property Rights, privacy rights, publicity rights, or other legal rights; (c) the User Content is truthful, accurate, and not misleading; (d) the User Content does not contain any content that is defamatory, obscene, offensive, hateful, violent, or otherwise unlawful; and (e) you have obtained all required consents from individuals identifiable in any User Content (including models, bystanders, and other persons).

18.4 EIDO's Rights

EIDO may, at its sole discretion and without notice or liability:

(a) use, not use, modify, remove, or refuse any User Content for any reason; (b) disclose User Content to third parties where required by law or court order; and (c) moderate or restrict the submission of User Content.

18.5 Moral Rights Waiver

To the fullest extent permitted by law, you waive all moral rights (including rights of attribution and integrity) in your User Content in favour of EIDO and its successors and licensees.


SECTION 19 — PROHIBITED CONDUCT & ENFORCEMENT

19.1 Prohibited Conduct

You must not, directly or indirectly:

(a) Illegal & Harmful Conduct:

  • use the Services for any unlawful purpose or in violation of any applicable law or regulation;
  • infringe any third party's Intellectual Property Rights, privacy rights, or other legal rights;
  • engage in fraudulent conduct, including identity theft, use of stolen payment credentials, or misrepresentation of your identity;

(b) Platform Integrity:

  • interfere with, disrupt, or damage the integrity, security, or operation of the Site or Services;
  • introduce or transmit viruses, malware, spyware, ransomware, or other malicious code;
  • conduct or facilitate denial-of-service or distributed denial-of-service attacks;
  • attempt to probe, scan, or test the vulnerability of EIDO's systems or networks;
  • bypass, defeat, or circumvent any security, access control, authentication, or rate-limiting mechanism;
  • use automated tools (including bots, scrapers, or browser plugins) to access or extract data from the Site;
  • create fake accounts, use proxies, or employ other methods to circumvent quantity limits or access restrictions;

(c) Commercial Misuse:

  • purchase Products for commercial resale without EIDO's prior written consent (see Section 20);
  • purchase Products in quantities that exceed EIDO's stated per-customer limits;
  • use the Site for any commercial solicitation or advertising without EIDO's prior written consent;

(d) Abusive Conduct:

  • engage in Chargeback Abuse as defined in Section 7;
  • threaten, harass, abuse, or intimidate EIDO's staff or other customers;
  • submit false, misleading, or defamatory reviews or User Content;

(e) Export & Sanctions:

  • violate any export control, sanctions, or trade embargo laws as described in Section 29.

19.2 Enforcement

Without limiting any other right or remedy, EIDO may respond to any suspected or actual prohibited conduct by:

(a) issuing a warning; (b) suspending or terminating your account; (c) removing User Content; (d) cancelling Orders; (e) revoking EIDO Marks™; (f) reporting conduct to law enforcement authorities or relevant regulatory bodies; (g) pursuing civil legal action for damages; and/or (h) taking any other action EIDO considers appropriate.

EIDO reserves the right to cooperate fully with law enforcement investigations relating to any unlawful activity connected to the Services.


SECTION 20 — RESALE, COMMERCIAL PURCHASING & ANTI-COUNTERFEITING

20.1 Personal Use Purchases

Products sold on eidoofficial.com are intended for personal use by the end consumer. By placing an Order, you represent and warrant that you are purchasing Products for your own personal use and not for commercial resale, bulk distribution, or arbitrage.

20.2 Resale Prohibition

You must not resell, re-offer for sale, or distribute EIDO Products through any commercial channel (including physical retail, online marketplaces, social commerce platforms, or consignment) without EIDO's prior written authorisation. Any attempted resale in violation of this Section voids any warranty or return right associated with the Product and entitles EIDO to take enforcement action under Section 19.2.

20.3 Grey Market & Parallel Imports

EIDO Products are sold exclusively through authorised channels. EIDO accepts no responsibility for Products purchased through unauthorised resellers, and any consumer guarantee obligations do not extend to products purchased through unauthorised channels.

20.4 Anti-Counterfeiting

The manufacture, sale, distribution, or promotion of counterfeit or replica EIDO Products is strictly prohibited and constitutes an infringement of EIDO's Intellectual Property Rights. EIDO will vigorously pursue all available civil and criminal remedies against infringers.


SECTION 21 — PROMOTIONS, DISCOUNT CODES & GIFT CARDS

21.1 Promotional Terms

All promotions, discounts, sale events, and offers are subject to specific terms and conditions, which will be communicated at the time of the promotion. Where no specific terms are stated, the following defaults apply:

(a) promotions are valid only for the stated period and while stock lasts; (b) only one promotion or discount code may be applied per Order, unless expressly stated otherwise; (c) promotions are not transferable and have no cash value; (d) promotions may not be combined with other offers or applied retrospectively to past Orders; (e) EIDO reserves the right to withdraw, modify, or extend any promotion at any time; and (f) promotions are void where prohibited by law.

21.2 Discount Codes

Discount codes are single-use unless stated otherwise, non-transferable, and must be applied at checkout. EIDO is not responsible for discount codes that are lost, stolen, or expire before use. Only one discount code may be applied per transaction.

21.3 Gift Cards

Where EIDO offers gift cards:

(a) gift cards are non-refundable and cannot be exchanged for cash except where required by law; (b) gift cards are redeemable only on eidoofficial.com and have no value outside the Site; (c) EIDO is not responsible for lost or stolen gift cards; (d) gift cards must be used prior to any stated expiry date; and (e) the value of a gift card cannot be topped up unless EIDO expressly offers this feature.


SECTION 22 — PRIVACY, PERSONAL DATA, CHILDREN'S DATA & COOKIES

22.1 Privacy Policy

EIDO's collection, use, disclosure, storage, and protection of your personal information is governed by the Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge and agree to the terms of the Privacy Policy.

22.2 Global Privacy Compliance

EIDO processes personal information in compliance with applicable privacy and data protection laws in the jurisdictions in which it operates, including:

(a) the Privacy Act 1988 (Cth) (Australia) and the Australian Privacy Principles; (b) the General Data Protection Regulation (EU) 2016/679 (GDPR) and the UK GDPR for users in the EEA and UK; (c) the California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA) for California residents; (d) the Personal Information Protection and Electronic Documents Act (PIPEDA) for Canadian users; and (e) other applicable national and state-level privacy laws.

22.3 Children's Data

EIDO does not knowingly collect personal information from children in violation of applicable law. In jurisdictions that require verifiable parental consent for the collection or processing of a child's personal data (including users under 13 in the US under COPPA, and users under 16 in the EEA under GDPR), EIDO will seek verifiable parental consent before processing such data. If you believe that EIDO has inadvertently collected personal data from a child without the required consent, please contact us immediately at clientcare@eidoofficial.com and we will take prompt action to delete such data.

22.4 Cookies

EIDO uses cookies and similar tracking technologies on the Site for functional, analytical, and marketing purposes. Your consent to cookies is managed through the cookie consent mechanism displayed on the Site. You may adjust your cookie preferences at any time through your browser settings or the Site's cookie management tool. Certain cookies are essential to the operation of the Site and cannot be disabled.


SECTION 23 — THIRD-PARTY SERVICES, INTEGRATIONS & META DATA SHARING

23.1 Third-Party Services

The Services may integrate with, link to, or enable access to third-party platforms, applications, and services, including (without limitation) payment processors, shipping carriers, social media platforms, marketing tools, and analytics providers. EIDO is not responsible for, and makes no representations or warranties regarding:

(a) the terms, policies, or practices of any third-party service; (b) the content, functionality, security, or accuracy of any third-party platform; (c) any transactions conducted with third parties accessed via the Site; or (d) any data shared with third parties at your direction.

Your use of any third-party service is at your own risk and is governed solely by that third party's terms.

23.2 Meta Platforms — Data Sharing Disclosure

To measure the effectiveness of advertising and deliver relevant product experiences, EIDO uses integrated technologies from Meta Platforms, Inc. (including Facebook and Instagram), including:

(a) Meta Pixel — a browser-side tracking tool that records your interactions with the Site; (b) Meta Conversions API — a server-side event sharing tool that transmits interaction and purchase data directly from EIDO's servers to Meta; (c) Advanced Matching — a tool that enables matching of your interactions to a Meta account using hashed personal identifiers; and (d) Shopify Facebook Channel — Shopify's native integration enabling the above tools.

What data may be shared: Information about your interactions with the Site (including viewed pages, Products added to Cart, checkout events, and purchase details) may be transmitted to Meta. This data may include hashed personal identifiers (such as email address or phone number) and device identifiers for matching purposes.

Purpose: This data sharing enables EIDO to: (i) measure advertising campaign performance; (ii) deliver interest-based advertising on Facebook and Instagram; (iii) build and target relevant audience segments; and (iv) optimise the Site.

EIDO's data sharing setting: EIDO currently uses Shopify's Maximum Data Sharing setting, which includes both browser-based and server-side event transmission.

Meta's privacy practices: Meta's processing of shared data is governed by Meta's Privacy Policy, available at https://www.facebook.com/about/privacy.

Your controls: You may manage your Meta advertising preferences and disconnect Off-Facebook Activity via your Facebook account settings at https://www.facebook.com/off_facebook_activity. For EEA and UK users, EIDO relies on a valid lawful basis for this processing as described in the Privacy Policy.

No sale of personal information: EIDO does not sell your personal information to Meta or any other third party. Data shared with Meta is used solely for the purposes described above, subject to Meta's terms and privacy policies.

23.3 Shopify

The Site is operated on the Shopify platform. Shopify processes certain personal and transactional data as part of platform operations. Shopify's privacy practices are governed by Shopify's Privacy Policy (https://www.shopify.com/legal/privacy).

23.4 Other Analytics & Marketing Tools

EIDO may use other third-party analytics and marketing tools (including but not limited to email marketing platforms and review management tools). Details of these integrations and associated data processing are set out in the Privacy Policy.


SECTION 24 — ACCESSIBILITY

EIDO is committed to making eidoofficial.com accessible to all users, including those with disabilities. EIDO endeavours to comply with applicable web accessibility standards, including the Web Content Accessibility Guidelines (WCAG) 2.1 at Level AA, to the extent reasonably practicable. If you experience any difficulty accessing any part of the Site due to a disability or accessibility need, please contact us at clientcare@eidoofficial.com so that we may assist you and work to improve the Site's accessibility.


SECTION 25 — DISCLAIMERS OF WARRANTY

25.1 "As Is" Provision

Subject to the ACL, mandatory consumer laws applicable in your jurisdiction, and the express warranties given in connection with specific Products or Orders, the Site and Services are provided "as is" and "as available" without any representation, warranty, or guarantee of any kind, whether express, implied, statutory, or otherwise.

25.2 No Warranty as to Site Operation

To the maximum extent permitted by applicable law, EIDO does not warrant or represent that:

(a) the Site will be available at all times or will operate free from interruption, error, or defect; (b) defects in the Site will be corrected; (c) the Site or any server through which it is made available is free from viruses, malware, or other harmful components; (d) the Site will be compatible with all devices, operating systems, or browsers; (e) the information or Content on the Site is complete, accurate, current, or free from typographical or other errors; or (f) the results obtained from using the Services will be accurate or reliable.

25.3 No Warranty as to Third-Party Services

EIDO provides no warranty of any kind with respect to any third-party service, platform, or content accessed via the Site.

25.4 Non-Excludable Rights Preserved

Nothing in this Section 25 is intended to exclude, restrict, or modify any non-excludable right, guarantee, or remedy under the ACL or any other applicable mandatory law.


SECTION 26 — LIMITATION OF LIABILITY

26.1 Non-Excludable Rights Preserved

Nothing in this Section 26 excludes, restricts, or modifies any liability that cannot be excluded or limited under the ACL, applicable mandatory consumer laws, or any other applicable law.

26.2 Exclusion of Consequential Loss

To the maximum extent permitted by applicable law, EIDO (including its officers, directors, employees, agents, contractors, and successors) will not be liable to you for any:

(a) indirect, incidental, special, consequential, exemplary, or punitive damages; (b) loss of profits, revenue, data, goodwill, or business opportunities; (c) business interruption or loss of anticipated savings; (d) loss or corruption of data or information; (e) costs of substitute goods or services; or (f) any other intangible loss,

arising out of or in connection with the Services or these Terms, regardless of whether such loss was foreseeable and regardless of the form of action (whether in contract, tort including negligence, statute, or otherwise).

26.3 Aggregate Liability Cap

To the maximum extent permitted by applicable law, and subject to Section 26.1, EIDO's aggregate total liability to you for all claims arising out of or in connection with the Services or Products (regardless of the form of action) is limited to the greater of:

(a) the total amount you actually paid to EIDO for the relevant Products giving rise to the claim in the twelve (12) months immediately preceding the date on which the claim arose; or (b) AUD $100.

26.4 Allocation of Risk

The limitations of liability in this Section 26 reflect a reasonable allocation of risk between EIDO and Customers, and are an essential element of the basis on which EIDO offers Products at the prices it does. EIDO would not be able to provide the Services on commercially viable terms without these limitations.


SECTION 27 — DISPUTE RESOLUTION — TIERED PROCESS, ARBITRATION & CLASS ACTION WAIVER

27.1 Tiered Dispute Resolution Process

EIDO is committed to resolving disputes fairly and efficiently. Before commencing any formal legal proceedings (except for interim injunctive relief), you must follow the tiered process below:

Step 1 — Internal Resolution: Contact EIDO at clientcare@eidoofficial.com with a detailed written description of your dispute, your preferred resolution, and your contact details. EIDO will acknowledge receipt within 5 Business Days and endeavour to resolve the dispute within 20 Business Days.

Step 2 — Mediation: If the dispute is not resolved through Step 1, either party may request mediation through a mutually agreed mediator, or (if agreement cannot be reached) through the Resolution Institute (Australia) or an equivalent accredited mediation body in your jurisdiction. Mediation costs will be shared equally unless otherwise agreed or required by law.

Step 3 — Formal Proceedings: If mediation fails to resolve the dispute, the parties may proceed to formal legal proceedings as described in Sections 27.2 or 27.3 below.

27.2 Arbitration (United States Residents)

If you are a consumer resident in the United States, the following mandatory arbitration agreement applies to you:

(a) Agreement to Arbitrate: Except for disputes that qualify for small claims court in your jurisdiction, you and EIDO agree to resolve all disputes arising out of or relating to these Terms or the Services through final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, rather than in court.

(b) Arbitration Location & Process: Arbitration will be conducted in English. For claims under USD $10,000, you may elect to have the arbitration conducted solely on the basis of documents submitted to the arbitrator. For claims between USD $10,000 and USD $75,000, either party may elect a telephonic hearing. In-person hearings will be conducted at a location reasonably convenient to both parties.

(c) Costs: The AAA's consumer rules govern the allocation of arbitration filing fees and arbitrator costs. For claims under USD $75,000, EIDO will pay all AAA filing, administration, and arbitrator fees, unless the arbitrator determines your claim is frivolous. Each party will bear its own attorneys' fees unless applicable law or the arbitrator's award provides otherwise.

(d) Class Action Waiver: You and EIDO agree that any arbitration or dispute resolution proceeding will be conducted solely on an individual basis, and NOT as a class, collective, coordinated, consolidated, mass, or representative action. You waive any right to participate in a class arbitration or class action lawsuit. This waiver is a material term of this arbitration agreement.

(e) Opt-Out Right: You have the right to opt out of this arbitration agreement within 30 days of first accepting these Terms (or 30 days of any material change to this Section) by sending a written notice to clientcare@eidoofficial.com stating your full name, email address, and that you are opting out of arbitration. Opting out does not affect any other part of these Terms.

(f) Severability: If any part of this arbitration agreement is found invalid or unenforceable, the remainder will continue in effect. The class action waiver is non-severable from the arbitration agreement; if the class action waiver is unenforceable, the arbitration agreement as a whole shall be null and void.

27.3 Australia, EEA, UK & Other Jurisdictions

Consumers in Australia, the EEA, the UK, and all other jurisdictions (outside the United States) are not subject to mandatory arbitration under these Terms. Disputes will be resolved in accordance with Section 32 (Governing Law & Jurisdiction), subject to your non-waivable local consumer rights.

Australian consumers may contact the relevant consumer protection agency (e.g., the Australian Competition and Consumer Commission (ACCC) or the relevant state fair trading agency) or access free dispute resolution through the relevant ombudsman service.


SECTION 28 — INDEMNIFICATION

28.1 Indemnity

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless EIDO and its directors, officers, employees, agents, contractors, successors, licensees, and assigns (collectively, "EIDO Parties") from and against any and all claims, demands, actions, losses, damages, liabilities, fines, penalties, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:

(a) your breach of these Terms or any incorporated policy; (b) your access to or use of the Services in violation of these Terms; (c) your User Content, including any claim that your User Content infringes a third party's rights; (d) your violation of any applicable law or regulation; or (e) your violation of any third party's rights.

28.2 EIDO's Right to Control Defence

EIDO reserves the right, at its own expense, to assume exclusive control of the defence and settlement of any matter subject to indemnification by you. You agree to cooperate fully with EIDO in the defence of any such claim and not to settle any such claim without EIDO's prior written consent.


SECTION 29 — EXPORT CONTROLS, SANCTIONS & PROHIBITED JURISDICTIONS

29.1 Compliance Obligation

You must not purchase, acquire, export, re-export, transfer, or use Products in violation of any applicable export control laws or sanctions, including those administered by:

(a) the Australian Government (including DFAT and AUSTRAC); (b) the US Department of Commerce (Bureau of Industry and Security, BIS) and the US Department of the Treasury (Office of Foreign Assets Control, OFAC); (c) the UK Office of Financial Sanctions Implementation (OFSI); (d) the European Union; and (e) the United Nations Security Council.

29.2 Representations

By placing an Order, you represent and warrant that:

(a) you are not located in, and are not a national or resident of, a Prohibited Jurisdiction; (b) you are not listed on any sanctions list administered by any of the bodies listed in Section 29.1; (c) the Products will not be used for any purpose prohibited by applicable export control or sanctions laws, including the development of weapons of mass destruction; and (d) you will comply with all applicable export, import, and sanctions laws with respect to the Products.

29.3 Right to Cancel

EIDO may, without liability, cancel any Order or refuse any delivery where fulfilment would violate any applicable export control law or sanctions regulation, or EIDO's internal risk policies.


SECTION 30 — FORCE MAJEURE

30.1 Force Majeure Events

EIDO will not be in breach of these Terms and will not be liable to you for any delay in performance, or non-performance, of any obligation under these Terms to the extent that such delay or non-performance is caused by or results from a Force Majeure Event.

A "Force Majeure Event" means any event or circumstance beyond EIDO's reasonable control, including (without limitation):

(a) natural disasters, acts of God, floods, earthquakes, storms, or other extreme weather events; (b) pandemics, epidemics, or public health emergencies declared by government authorities; (c) war, invasion, hostilities, terrorism, civil unrest, or riot; (d) strikes, industrial action, or labour disputes involving EIDO's suppliers or logistics partners; (e) governmental orders, regulations, embargoes, sanctions, or import/export restrictions; (f) failures of telecommunications networks, internet infrastructure, or third-party platforms; (g) disruptions to global supply chains or shipping routes; and (h) failures of utilities or essential services.

30.2 Notification

EIDO will use reasonable efforts to notify affected Customers of a Force Majeure Event and its expected duration.

30.3 Extended Force Majeure

If a Force Majeure Event continues for more than 60 days and results in EIDO's inability to fulfil an Order, EIDO may cancel the affected Order and provide a full refund of any amounts paid, subject to applicable mandatory consumer laws.


SECTION 31 — ELECTRONIC COMMUNICATIONS & RECORDS

31.1 Consent to Electronic Communications

By creating an account or transacting with EIDO, you consent to receiving all communications from EIDO in electronic form, including via email, SMS/MMS, and in-Site notifications. Electronic communications satisfy any legal requirement that communications be made in writing, to the extent permitted by applicable law.

31.2 Electronic Records

By transacting with EIDO, you consent to the creation, storage, and use of electronic records in connection with your transactions, consistent with the Electronic Transactions Act 1999 (Cth), the Electronic Transactions (Queensland) Act 2001, and equivalent laws in your jurisdiction.

31.3 Notices to EIDO

All legal notices to EIDO must be sent in writing to clientcare@eidoofficial.com. Where applicable law requires service by post or other means, such requirements are not affected by this Section.

31.4 Spam & Unsolicited Communications

EIDO does not send unsolicited commercial electronic messages. All marketing communications from EIDO are sent only to recipients who have consented to receive them, in compliance with applicable anti-spam laws.


SECTION 32 — GOVERNING LAW & JURISDICTION

32.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict-of-laws rules.

32.2 Jurisdiction

Subject to Section 27 (for US arbitration) and Section 32.3 (for mandatory local consumer rights), you irrevocably submit to the exclusive jurisdiction of the courts of Queensland, Australia, for the determination of any dispute arising out of or in connection with these Terms or the Services.

32.3 Non-Waiver of Mandatory Consumer Rights

This governing law and jurisdiction clause does not deprive any consumer of the protection of the mandatory consumer laws of their jurisdiction of residence, and does not prevent you from bringing a claim before the relevant consumer protection authority in your country.

32.4 Language

These Terms are drafted in the English language. If EIDO provides a translation of these Terms into another language for your convenience, the English version will control in the event of any inconsistency or ambiguity.


SECTION 33 — GENERAL PROVISIONS

33.1 Entire Agreement

These Terms, together with all policies, schedules, and documents incorporated by reference (including the Privacy Policy, Shipping Policy, Return & Exchange Policy, Marks Policy, and any applicable promotional terms), constitute the entire agreement between you and EIDO with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, warranties, and understandings of any kind.

33.2 Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, unlawful, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or (if modification is not possible) severed from these Terms, and the validity, legality, and enforceability of the remaining provisions will not be affected or impaired.

33.3 No Waiver

EIDO's failure to enforce any provision of these Terms at any time does not constitute a present or future waiver of that provision, nor does it limit EIDO's right to enforce that provision at a later time.

33.4 Assignment

You may not assign, transfer, novate, or sub-licence any of your rights or obligations under these Terms without EIDO's prior written consent. Any purported assignment in violation of this clause is void.

EIDO may assign, transfer, novate, or sub-licence any or all of its rights and obligations under these Terms at any time without your consent, including in the context of a merger, acquisition, sale of assets, or corporate restructuring, provided that EIDO will notify you of any material change in the identity of the entity administering the Services.

33.5 No Third-Party Beneficiaries

These Terms are for the benefit of you and EIDO only and do not create any rights in any third party, except as expressly stated.

33.6 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and EIDO. You have no authority to incur obligations on EIDO's behalf.

33.7 Headings & Interpretation

Section headings are for convenience and reference only and do not affect the interpretation of these Terms. Unless the context requires otherwise:

(a) references to a statute or legislation include all amendments and re-enactments; (b) the singular includes the plural and vice versa; (c) "including" means "including without limitation"; and (d) where EIDO "may" do something, that discretion is absolute and may be exercised without notice or reason unless these Terms expressly state otherwise.

33.8 Survival

The following Sections survive the termination or expiry of these Terms and your cessation of use of the Services: Section 1 (Definitions), Section 7 (Chargeback Abuse), Section 13 (Defective Goods), Section 17 (Intellectual Property), Section 18 (User Content), Section 25 (Disclaimers), Section 26 (Limitation of Liability), Section 27 (Dispute Resolution), Section 28 (Indemnification), and Section 32 (Governing Law).

33.9 Accessibility of These Terms

EIDO will maintain a current copy of these Terms, together with all incorporated policies, on the Site at all times. If you are unable to access the Terms due to a disability or technical difficulty, please contact clientcare@eidoofficial.com and EIDO will provide a copy in an accessible format.
